Terms of Service
These terms are a contract between you (the business or person using Dalo) and us. By creating an account or using Dalo you agree to them. If you use Dalo on behalf of a business, you confirm you are allowed to bind that business.
1. What Dalo is, and is not
- Dalo is a software tool. It creates amount-specific KHQR codes from the public ABA Payment Link you own, shows them to your customers, and reports to you when ABA's page displays the payment as paid.
- Dalo never holds, receives, transfers or settles money. Payments go directly from your customer's bank to your ABA account under your agreement with ABA Bank. Dalo is not a bank, a payment institution, a money transmitter, an escrow service or a wallet, and does not provide financial services.
- Dalo is independent of ABA Bank (Advanced Bank of Asia Ltd.) and of the National Bank of Cambodia's Bakong system. Dalo is not endorsed by, affiliated with, or supported by them. "ABA", "KHQR" and "Bakong" are the marks of their respective owners.
- Dalo works by operating the public web page of your ABA Payment Link, the same page a customer would use. It does not access ABA's private systems or your ABA account credentials, and it never asks for them.
2. Your account and your responsibilities
- You must be at least 18 and use Dalo only for a lawful business. You are responsible for everything done under your account and for keeping your email account secure, since sign-in codes are sent there.
- You must own or be authorised to use every ABA Payment Link you connect, and you must comply with ABA's terms and with Cambodian law, including tax, consumer-protection and anti-money-laundering rules that apply to your business.
- You are responsible for what you sell, for delivering it, for refunds, chargebacks and disputes with your customers, and for any fees ABA charges you. Dalo is not a party to any sale.
- You must not use Dalo for anything illegal, fraudulent or deceptive; to collect money you are not entitled to; for gambling, adult content, weapons, drugs, pyramid schemes or sanctioned persons; to attack, overload or reverse-engineer the service; or to resell Dalo without our written agreement.
3. Payment status is information, not a guarantee
- A payment is marked paid when ABA's public page shows it as paid with the merchant name, amount and currency Dalo expects. This is a report of what that page displayed. Your ABA account statement is the only authoritative record. Before you release high-value goods, or in any dispute, check your ABA app.
- Dalo may mark a payment scanned, expired, failed or cancelled. None of these means money was or was not received; they describe what Dalo observed.
- Because Dalo depends on ABA's public pages, changes ABA makes, outages, rate limits or network problems can delay or prevent QR creation and status updates. We work to restore service quickly but cannot promise uninterrupted availability or that ABA will keep its pages compatible.
4. Plans, fees and renewals
- The Free plan is free. Paid plans are billed per 30-day period at the prices shown in the dashboard, payable by KHQR to our ABA account. A plan starts when the payment is confirmed and ends 30 days later unless renewed; a renewal extends from the current end date.
- When a paid plan ends and is not renewed, your account returns to the Free plan and its limits. Nothing you have collected is affected.
- Plan limits count paid transactions per calendar month. When the limit is reached, new payments are paused until the next month or an upgrade.
- Fees are non-refundable except where the law requires otherwise or where we fail to provide the service for a substantial part of a paid period, in which case we may extend the period or refund the unused part at our choice.
- We may change prices or plan features with at least 30 days' notice by email or in the dashboard. Changes apply from your next renewal.
5. Suspension and termination
- You can stop using Dalo at any time. Remove your stores and API keys from the dashboard, or email us to close the account.
- We may suspend or close an account, without refund, if we reasonably believe it is used in breach of these terms, for fraud or illegal activity, in a way that harms other customers or the service, or at the request of a bank or an authority. Where we can, we will tell you why.
- If the service is discontinued we will give at least 30 days' notice and a way to export your payment history.
6. Your data and your customers' data
We handle data as described in our Privacy Policy. You are responsible for the data you pass to Dalo in references and metadata and for telling your customers how you use Dalo. Do not send card numbers, identity numbers or other sensitive personal data in payment references or metadata.
7. Intellectual property
Dalo, its software, dashboards and documentation belong to us. You get a limited, non-exclusive licence to use them to accept payments for your own business while your account is in good standing. You keep ownership of your business names, logos and data.
8. Disclaimer
Dalo is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose, uninterrupted or error-free operation, and the accuracy of payment status information. Dalo does not guarantee that any customer will pay, that any payment will be received, or that ABA will continue to offer Payment Links.
9. Limitation of liability
- To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, lost profits, lost sales, lost data, business interruption, or losses caused by ABA Bank, Bakong member institutions, your customers, your own systems, or events outside our reasonable control.
- Our total liability for all claims in any 12-month period is limited to the fees you paid to Dalo in the 3 months before the claim arose, or USD 50 if you paid nothing.
- Nothing in these terms limits liability that cannot be limited under Cambodian law.
10. Indemnity
You will defend and compensate us for claims, losses and costs (including reasonable legal fees) arising from your breach of these terms, your use of Dalo, your products or services, or your violation of any law or of ABA's terms.
11. Changes to these terms
We may update these terms. For material changes we will post the new effective date here and notify you by email or in the dashboard at least 14 days in advance. Continuing to use Dalo after that date means you accept the new terms.
12. Law and disputes
These terms are governed by the laws of the Kingdom of Cambodia. We will try to resolve any dispute informally first; contact us at the address below. Disputes that cannot be resolved informally will be brought before the competent courts of Phnom Penh, Cambodia.
